Terms of Service

1. Who we are
SpiceUp is a point-of-sale platform for restaurants and takeaways, operated by [legal entity — company registration in progress] ("SpiceUp", "we"). Contact: jahangirbaigm@gmail.com.
2. The service
SpiceUp provides, as one hosted service: a counter point-of-sale, a kitchen display system, a customer online-ordering site, an AI telephone ordering assistant, inventory management, and an administration console. Features are described at the time of sign-up; we improve the service continuously and will not remove core functionality you rely on without reasonable notice.
3. Your account and your responsibilities
- You are responsible for keeping staff logins, PINs and two-factor devices secure, and for removing access when staff leave.
- You must provide accurate business information, including accurate menu, allergen and pricing information shown to your customers.
- You must use the service lawfully — including telling your customers about call recording where required and honouring their privacy rights.
4. Your customers' data
For the personal data of your customers processed through SpiceUp, you are the data controller and SpiceUp is your data processor. We process that data only to provide the service, as described in our Privacy Policy, and we provide built-in tools for export and erasure so you can honour your customers' rights. A formal data processing agreement will accompany the first commercial contracts: [DPA — to be prepared with solicitor review].
5. Fees
SpiceUp Core is £79 per shop per month, or £790 per shop per year. The optional AI Phone Agent is £39 per shop per month. Fees are payable in advance by card, cover unlimited orders, and are charged per shop.
Hardware (printers, terminals, cash drawers) is not included and is purchased separately by you. Card processing fees on your customers' payments are not charged by us — see section 6.
We are not currently registered for VAT, so no VAT is added to these fees. If we become VAT-registered we will tell you before VAT is applied. We may change fees on 30 days' written notice; if you do not accept a change you may end the agreement before it takes effect. Any trial or pilot arrangements will be agreed in writing.
6. Payments to you
Card payments from your customers are processed by Stripe under your own Stripe account and Stripe's terms. SpiceUp never holds your customers' card details and is not a party to the payment.
7. Availability
We aim for the service to be available at all times but do not yet offer a contractual uptime guarantee. We operate independent uptime monitoring, nightly backups, and alerting, and we will tell you promptly about material incidents affecting your data or service.
8. Acceptable use
You must not attempt to breach the service's security, access other tenants' data, resell the service without agreement, or use it for unlawful purposes. We may suspend access to protect the service or other customers, and will tell you why.
9. Liability
Nothing in these terms limits liability that cannot be limited by law (including for fraud, or death or personal injury caused by negligence). Subject to that: neither party is liable for indirect or consequential losses; and each party's total liability in any 12-month period is capped at [cap — to be set with solicitor review, typically the fees paid in that period]. You remain responsible for your own legal obligations to your customers, including food safety, allergen information and consumer rights.
10. Ending the agreement
You may stop using the service at any time. On termination we will, at your choice, provide an export of your business data and then delete it, except records we must keep by law.
11. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
